(the “Contractor”)
I. Scope of Services: SRSTS agrees to provide remote and/or on-site technical support and related IT services (the “Services”) to Client as requested and agreed upon by both parties. Specific services may include but are not limited to:
A. Hardware and software installation
B. Network setup and maintenance
C. System diagnostics and repair
D. Data backup and recovery
E. Cybersecurity measures
F. General IT consulting
II. Fees and Payment: Client agrees to compensate SRSTS for the Services as follows:
A. Flat Rate Services: Specific tasks may be quoted at a flat rate prior to work commencement
B. Quotes provided by SRSTS are based on initial diagnostics and known issues at the time of assessment. In the event that additional problems or required services are discovered during the course of repair or service, SRSTS will notify the Client promptly. Any additional costs will require Client approval before proceeding, and the final invoice may be adjusted accordingly.
C. Payment Terms: Payment is due upon completion of the Services unless otherwise agreed in writing. Acceptable payment methods include cash, check, PayPal, or credit card
D. Late Fees: A late fee of 3% will be applied to any outstanding balance unpaid after 30 days from the invoice date
E. In the event a check provided by the Client is returned for insufficient funds, SRSTS reserves the right to charge a processing fee of $35 for each returned check.
F. The Client shall be responsible for any bank fees or charges incurred by SRSTS as a result of the returned check.
G. If payment is not received within 15 days after notification of insufficient funds, SRSTS may suspend further services until the full balance, including any applicable fees and late charges, is paid.
H. SRSTS may require future payments to be made by certified check, money order, or electronic payment to avoid further issues with insufficient funds.
III. Scheduling and Cancellations:
A. Scheduling: Services will be performed at a mutually agreed-upon time
B. Cancellations: Client agrees to provide at least 24 hours’ notice for cancellations. Failure to do so may result in a cancellation fee of up to one hour of billable time
IV. Client Responsibilities: Client agrees to:
A. Provide SRSTS with necessary access to systems and equipment
B. Maintain proper licensing for all software
C. Backup all critical data prior to service, unless backup services are requested
V. Confidentiality:
A. SRSTS agrees to maintain the confidentiality of all Client data and sensitive information accessed during the course of performing Services
B. SRSTS shall not disclose such information to third parties without Client consent unless required by law
VI. Limitation of Liability:
A. SRSTS will perform all Services in a professional and workmanlike manner
B. However, SRSTS shall not be liable for any indirect, incidental, or consequential damages arising from the Services provided, including data loss unless caused by gross negligence
VII. Warranty: Services are warranted for a period of 30 days from the date of completion, as determined by SRSTS unless otherwise stated. This warranty covers issues directly related to the original service provided. It does not cover:
A. User-inflicted damage
B. Hardware or software failures not related to the serviced issue

VIII. Termination:
A. Either party may terminate this Agreement at any time by providing written notice
B. Client shall be responsible for payment of all services rendered up to the point of termination
IX. Independent Contractor Status:
A. SRSTS is an independent contractor
B. Nothing in this Agreement shall be interpreted to create an employer-employee, partnership, or joint venture relationship
X. Governing Law:
A. This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire.
XI. Entire Agreement:
A. This document represents the entire agreement between SRSTS and Client
B. No other oral or written agreements shall be considered binding unless amended in writing and signed by both parties
